Terms & Conditions

Understand the terms governing Menushell services, restaurant accounts and use of our website.

Last updated: 17 October 2026

These terms provide general information about Menushell's website and platform. Restaurant subscription agreements and order forms may include additional provisions. Please review those documents before purchasing services.

1. Introduction and Acceptance

These Terms & Conditions govern access to the Menushell website and use of services supplied by Menushell Ltd (company number 17509252), registered at 20 Wenlock Road, London, England, N1 7GU, United Kingdom. By accessing or using our services, you agree to these terms to the extent applicable to you. If you are acting for a business, you confirm you have authority to accept terms on its behalf. Additional written agreements, order forms, service descriptions or subscription terms may apply and will take precedence where they expressly conflict with these general website terms.

2. Our Services

Menushell offers technology intended to help restaurants operate online ordering, menu management and related restaurant functions. Specific features, integrations, support levels, setup obligations and availability depend on the plan or agreement selected. Website descriptions are general information and do not independently guarantee a feature or service level.

3. Restaurants and Customer Orders

Participating restaurants are generally responsible for their menus, product descriptions, prices, allergens, taxes, opening hours, order acceptance, preparation, delivery or collection, refunds relating to food orders, and compliance with food and consumer laws. Unless expressly stated otherwise, an order placed with a restaurant is a transaction between the customer and that restaurant, not a sale of food by Menushell. Customers should contact the restaurant first about individual orders. Menushell may provide technical support for the ordering system.

4. Accounts and Authorised Users

Restaurant account holders must provide accurate information, maintain access controls, safeguard credentials, and ensure their users act lawfully. You are responsible for activity under your account except where caused by our breach of applicable obligations. Notify us promptly of suspected unauthorised access. We may require verification before providing account access or making sensitive changes.

5. Subscriptions, Fees and Payment

Prices, billing frequency, included services, applicable taxes, payment deadlines and any setup charges are those shown at checkout, in the applicable invoice or in an agreed order form. Subscription renewals, price changes and payment failures are governed by the applicable plan terms and notices provided when you subscribe. Where permitted by law and contract, overdue amounts may lead to suspension after appropriate notice. Payment processing may be provided by third parties such as Stripe, subject to their applicable terms.

6. Cancellation, Suspension and Refunds

Cancellation procedures, effective dates, any minimum commitment, final charges, data access and deletion arrangements depend on the applicable service agreement and subscription terms. Refer to our Service Cancellation and Refund Policy pages for further information, but those pages do not override a separately agreed contract. We may suspend access where reasonably necessary to address security threats, material misuse, unlawful activity or serious non-payment, subject to applicable law and contractual requirements. Nothing in these terms limits mandatory statutory cancellation or refund rights.

7. Acceptable Use

You must not use Menushell to violate law, infringe rights, distribute malware, attempt unauthorised access, disrupt systems, scrape or overload services, send unlawful unsolicited communications, or misrepresent products or transactions. Restaurant operators are responsible for obtaining permissions and providing legally required notices for information they upload or process through their accounts.

8. Content and Intellectual Property

Menushell and its licensors retain ownership of the platform, software, branding, design and documentation, except for content owned by customers or other parties. You retain ownership of content you provide, and grant us a limited right to host, transmit, display, back up and otherwise process it as reasonably necessary to supply and secure the services, subject to applicable agreements and law. You must have the rights required to provide such content. No intellectual-property rights transfer except as expressly agreed in writing.

9. Privacy and Data Protection

Our Privacy Policy explains how Menushell processes personal information for its own purposes. Where Menushell processes restaurant customer data on a restaurant’s instructions, additional data-processing terms may be required. Restaurant operators are responsible for their own privacy notices, lawful bases, and handling of customer requests where they are the data controller. See our Privacy Policy for further details.

10. Third-Party Services and Integrations

Menushell may integrate with payment processors, hosting providers, email services, domain services or other third parties. Third-party products are subject to their own terms, availability and privacy notices. We are not responsible for third-party products or outages beyond the extent required by law or an applicable agreement. You are responsible for configuring and maintaining any third-party accounts under your control.

11. Availability, Maintenance and Changes

We aim to operate reliable services, but maintenance, updates, internet failures, third-party interruptions and other events may affect availability. Unless a specific service-level commitment is agreed in writing, we do not promise uninterrupted or error-free access. We may modify services for security, legal, technical or operational reasons, giving appropriate notice where a change materially affects a contracted service.

12. Support and Communications

Support channels and response arrangements depend on your plan or agreement. You agree to receive operational notices, security alerts, billing communications and other messages necessary to administer your account. Marketing communications, where used, will follow applicable rules and preference controls.

13. Liability and Statutory Rights

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or rights and remedies that cannot be excluded under applicable consumer law. Subject to those protections and any separately agreed terms, each party is responsible for losses to the extent provided by applicable law and contract. Specific commercial liability caps or exclusions, if any, must be set out in the relevant signed service agreement or accepted subscription terms; this general page does not invent a blanket cap.

14. Ending Access and Consequences

On termination or expiry, your right to access relevant services may end, subject to any transition, export, retention or deletion rights set out in your agreement and applicable law. Outstanding lawful fees, accrued rights and provisions intended to survive termination may continue to apply. Restaurants should arrange any necessary data export before their agreed access period ends.

15. Governing Law and Disputes

For business-to-business arrangements, these general terms are governed by the laws of England and Wales, unless a written agreement specifies otherwise. The courts of England and Wales will generally have jurisdiction over disputes, subject to mandatory legal protections and any applicable contractual dispute-resolution provisions. Consumers retain any mandatory rights and jurisdiction protections available to them under applicable law.

16. Changes to These Terms

We may update these terms to reflect legal, security or service changes. The latest version will be published here with its update date. Where a change materially affects an existing paid contract, we will follow the notice and consent requirements of the applicable agreement and law. Continued use alone will not override rights that require express agreement.
